Skyworks Solutions supplies analog and mixed-signal semiconductors, and its near-term narrative centers on the proposed combination with Qorvo. The companies signed a definitive agreement, the required shareholder votes were completed, the U.S. waiting period ended without further action, and financing preparation advanced. Those are disclosed milestones. They do not prove that the merger is complete or that remaining regulators will clear it.
An August 3 filing identified China and South Korea as the only jurisdictions then remaining open. A September 14 filing still described the mergers as subject to closing conditions and extended deadlines for note-exchange offers. That is evidence of continuing transaction preparation, not completion. Management said it was very confident of a calendar-year close while preparing for a fiscal-year close, but also said such processes are never certain. The timing language is an attributed expectation with an explicit caveat.
Market chronology also requires disciplined reading. SWKS rose during the completed September 10 session before management's conference remarks began after the regular-session close. The first completed session after those remarks was also higher, while the September 14 close moved lower. That sequence does not establish that the remarks changed completion odds, that a regulatory decision occurred, or that integration economics improved. The broader market record was mixed, which further limits a simple causal interpretation.
The observed relationship between Qorvo's close and the stated merger formula was narrow at the completed September 14 boundary. The copied review expressly warns that this difference is not a direct estimate of completion probability. Transaction timing, closing mechanics, tax considerations, and stand-alone assessments can also affect the relationship.
The operating evidence remains separate from the legal process. Skyworks reported fiscal third-quarter revenue below the prior-year quarter. Projected cost savings and combined-company benefits remain management expectations that can be tested only after completion. Formal clearance in both open jurisdictions, a definitive completion filing, and later evidence on manufacturing utilization, customer continuity, margins, and cash generation would provide stronger confirmation.
